Terms and Conditions for Sauti Effective Date: 23rd December 2025 Welcome to Sauti (“the Platform”), a music streaming and artist–fan engagement service available via web and mobile applications. Sauti is published and operated by Talent and Revenue Management Ltd (“we”, “us”, or “our”). By accessing or using Sauti, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use the Platform. 1. About Sauti Sauti is a digital platform designed to: Stream music content Enable artists to share their work Allow fans to discover music and connect with artists Sauti is currently provided free of charge. We reserve the right to introduce paid features in the future with prior notice. 2. Eligibility To use Sauti, you must: Be at least 13 years old Have the legal capacity to enter into a binding agreement Provide accurate and complete registration information If you are under 18, you confirm that you have permission from a parent or legal guardian. 3. User Accounts You are responsible for maintaining the confidentiality of your account credentials You agree to provide accurate and up-to-date information You are responsible for all activity conducted through your account We reserve the right to suspend or terminate accounts that violate these Terms 4. Artist Accounts & Content Uploads If you register as an artist on Sauti, you confirm that: You own or control all rights to the content you upload, or You have proper authorization to upload and distribute the content By uploading content to Sauti, you grant Talent and Revenue Management Ltd a non-exclusive, royalty-free, worldwide license to: Host, store, stream, distribute, and display the content Promote the content within the Platform and related marketing You retain full ownership of your content. 5. User Content & Conduct Users agree not to: Upload infringing, illegal, or offensive content Impersonate another person or entity Harass, abuse, or harm other users Attempt to disrupt or misuse the Platform Circumvent security or access controls We reserve the right to remove content or suspend accounts that violate these rules. 6. Intellectual Property All platform-related intellectual property, including: The Sauti name, logo, design, and software Platform features and user interface are owned by or licensed to Talent and Revenue Management Ltd and may not be copied, modified, or used without permission. 7. Music Streaming & Availability Content availability may change without notice We do not guarantee uninterrupted access to the Platform Streaming quality may vary based on device, network, or location 8. Free Access & Future Monetization Sauti is currently free for users In the future, Sauti may introduce: Subscriptions Premium features Advertising Artist monetization tools Any such changes will be communicated clearly before implementation. 9. Third-Party Services Sauti may integrate or link to third-party services. We are not responsible for: Third-party content Third-party privacy practices Transactions conducted outside the Platform Use of third-party services is at your own risk. 10. Privacy Your use of Sauti is also governed by our Privacy Policy, which explains how we collect and use personal data. By using Sauti, you agree to the Privacy Policy. 11. Suspension & Termination We may suspend or terminate your access to Sauti if: You violate these Terms Required by law or regulation Necessary to protect the Platform or other users You may stop using Sauti at any time. 12. Disclaimer of Warranties Sauti is provided “as is” and “as available.” We make no warranties regarding: Continuous availability Error-free operation Accuracy of content uploaded by users 13. Limitation of Liability To the maximum extent permitted by law, Talent and Revenue Management Ltd shall not be liable for: Indirect or consequential damages Loss of data, profits, or goodwill User-generated content or third-party actions 14. Indemnification You agree to indemnify and hold harmless Talent and Revenue Management Ltd from any claims, damages, or expenses arising from: Your use of Sauti Your content uploads Violation of these Terms 15. Governing Law These Terms are governed by and interpreted in accordance with the laws of Kenya, without regard to conflict of law principles. 16. Changes to These Terms We may update these Terms from time to time. Updates will be posted on the Platform. Continued use of Sauti constitutes acceptance of the revised Terms. 17.
